Liberty All-Star(R) Equity Fund and Liberty All-Star(R) Growth Fund, Inc. Announce Special Shareholder Meetings

BOSTON, Jul 20, 2011 (BUSINESS WIRE) -- Liberty All-Star(R) Equity Fund (USA, Trade ) and Liberty All-Star(R) Growth Fund, Inc. (ASG, Trade ) (each, a "Fund") have each announced a special meeting of shareholders to consider a new Fund Management Agreement and new Portfolio Management Agreements. The Funds were informed that Lovell Minnick Equity Partners II LP ("Lovell Minnick") has entered into a definitive agreement to merge its interest in ALPS Holdings, Inc. ("ALPS Holdings"), the parent of ALPS Advisors, Inc. ("AAI"), into DST Systems, Inc. (the "Transaction"). The Transaction will result in a change of control of AAI, each Fund's current fund manager. As with the other fund complexes managed by AAI, when the Transaction is completed, each Fund's Fund Management Agreement with AAI and Portfolio Management Agreements with its sub-advisors will automatically terminate in accordance with their terms, as required by the Investment Company Act of 1940. In order to provide for continued management of the Funds, shareholders of each Fund will need to vote on new advisory and sub-advisory agreements.
After becoming aware that Lovell Minnick was considering merging its interest in ALPS Holdings, the Funds' Boards took certain actions in an effort to ensure that if a final agreement were reached that the Transaction would have as little disruption to the Funds' investment operations as possible. As part of these actions, subject to certain conditions, the Board of each Fund previously determined to call a shareholder meeting to be held on September 30, 2011 in anticipation of a possible vote on a new Fund Management Agreement and Portfolio Management Agreements. The record date for this meeting is July 19, 2011.
